Three commissions dependent on the Board of Directors

We have three committees reporting to the Board: Audit Committee, Remuneration and Appointments Committee and Sustainable Development Committee. The chairpeople of these committees are each of the independent commissioners, who have the differentiated roles shown below:

Audit Committee

In accordance with the Board of Directors’ Regulation, its primary purpose is to supervise the financial reporting process, the internal audit process and risk management systems, propose auditors, supervise internal control and information systems, ensure that the annual accounts are drawn up correctly, and other functions described in the Board Regulations.

Appointments and Remuneration Committee

In accordance with the Board of Directors’ Regulation, this committee focuses on supervising the Board of Directors, supporting them to develop and manage a fair and transparent procedure for establishing policies on commissioner appointments and remuneration, assessing the skills, knowledge and experience required by the Board, analyzing other occupations of commissioners, managing the succession of the Board of Directors’ Chairman, as well as setting proxy targets, among other functions.

Commission for Sustainable Development

In accordance with the Board of Directors’ Regulation, its responsibilities include supervising compliance with corporate governance rules and internal codes of conduct, assessing and reviewing the corporate governance system and environmental policy, supervising the application of general policies on communication of economic-financial, non-financial and corporate information, communication with shareholders and investors, proxy advisors and other stakeholders, as well as supervision of environmental and social corporate practices to ensure their alignment to the company’s existing policy and strategy.
